Terms of Service

These Terms of Service ("Terms") govern your access to and use of SchemaShield ("SchemaShield", "we"). By using the services, you agree to these Terms.

1) Accounts & Eligibility

You must be at least 16 and able to form a binding contract. You are responsible for your account, credentials, and compliance with these Terms.

2) Services

SchemaShield provides structured output validation and repair services for LLM applications, CI checks, and related tooling. You retain ownership of your prompts and outputs.

3) Plans, Billing, and Top‑ups

• Subscriptions: Pro and Team plans renew automatically unless canceled. Trials convert to paid unless canceled before trial end.
• Usage Limits: Validations and repairs are metered per plan. Top‑ups add one‑time allowances for the current billing period.
• Payments: Processed by Stripe. You authorize recurring charges for subscriptions and one‑time charges for top‑ups.
• Taxes: Prices exclude taxes where applicable.
• Refunds: Except as required by law, fees are non‑refundable.

4) BYO Keys & Data Handling

You may supply provider keys per request. We pass them through and do not store them by default. By default, prompts/outputs are not persisted. If you enable persist=true, you grant us permission to store minimal artifacts to operate and debug.

5) Acceptable Use

You will not: misuse quotas; violate laws; infringe intellectual property or privacy rights; attempt to disrupt or circumvent security; or use the services for harmful or high‑risk activities without appropriate safeguards.

6) Ownership

We retain all rights in our services and software. You retain rights in your prompts/outputs. You grant us a limited license to process your content to provide the services.

7) Feedback

You grant us a non‑exclusive, worldwide, perpetual, irrevocable license to use feedback for any purpose without compensation.

8) Confidentiality

Each party may use the other’s confidential information only to perform obligations under these Terms, and must protect it with reasonable care.

9) Disclaimers

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT WARRANT ERROR‑FREE OR UNINTERRUPTED OPERATION OR THAT OUTPUTS WILL MEET YOUR REQUIREMENTS.

10) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL OUR AGGREGATE LIABILITY EXCEED THE AMOUNTS PAID BY YOU TO US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR $100 IF YOU USE THE FREE PLAN. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

11) Indemnification

You will defend and indemnify us against claims arising from your misuse of the services or violation of these Terms.

12) Termination

You may stop using the services at any time. We may suspend or terminate access for material breach or to prevent harm. Upon termination, your right to use the services ends, but sections intended to survive will survive.

13) Governing Law & Disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflicts provisions. Jurisdiction and venue lie in the state and federal courts located in Delaware, unless otherwise required by law.

14) Changes

We may update these Terms. We will post the updated date and, where appropriate, provide additional notice. Continued use constitutes acceptance.
